1. Entry Period/How to Enter:
The Philips Norelco "Upgrade Your Morning" Sweepstakes (the "Promotion") begins at 12:00:01 AM Eastern Time ("ET") on November 7, 2011 and ends at 11:59:59 PM ET on December 31, 2011 (the "Entry Period"). Visit www.upgradeyourshave.com (the "Website") during the Entry Period and (a) agree to these Official Rules and the Philips Norelco terms of use and privacy policy; (b) follow the online instructions to complete all required fields to register, including name, address (no P.O. boxes accepted, only street or rural route addresses), city, state, zip code, phone number with area code, email address, and date of birth, on the Website and (c) submit registration to enter the sweepstakes. Limit one entry per household, per email address, per day.

Incomplete or corrupted entries are void. All entries become the exclusive property of the Sponsor and will not be returned or acknowledged.

2. Prizes:
Grand Prize: One (1) Grand Prize Winner will receive a cash prize in the amount of $25,000.

Second Prize: Eight (8) Second Prize Winners will receive a Syntia™ stainless steel coffee machine, a Sonicare™ Diamond Clean Toothbrush, and a Philips™ Wake-Up Light (ARV: $1,750).

Total ARV of all prizes: $26,750.

If any prize becomes unavailable, Sponsor reserves the right to substitute another prize of equal or greater value.

ALL EXPENSES, TAXES & COSTS ASSOCIATED WITH RECEIPT OR USE OF ALL PRIZES NOT SET FORTH HEREIN ARE SOLELY THE RESPONSIBILITY OF THE WINNER. NO PRIZE SUBSTITUTION PERMITTED BY WINNER UNLESS OTHERWISE INDICATED. PRIZES ARE NOT TRANSFERABLE. SPONSOR AWARDS PRIZES SUBJECT ONLY TO MANUFACTURERS WARRANTY, WITHOUT WARRANTY BY SPONSOR OF ANY KIND, EXPRESS OR IMPLIED, WITHOUT LIMITATION.

3. Eligibility:
Open to legal residents of the 50 U.S. States, D.C., and Puerto Rico, 18 years or older at the time of entry. Employees of Sponsor, Administrator, affiliates, subsidiaries, advertising and promotion agencies ("Affiliate Entities") and their immediate families (or persons who reside in the same household whether related or not) are not eligible.

4. Prize Winner Selection and Notification:
A random sweepstakes drawing will be conducted on or about January 5, 2012. Odds of winning depend on number of eligible entries received. Winners will be notified by email within seven (7) days of the drawing. If the potential winner is found to be ineligible or not in compliance with these Official Rules, declines to accept the prize, or if the notification that the Sponsor sends is returned as undeliverable, or the potential winner is otherwise unreachable for any reason, the prize will be forfeited and Sponsor may award the prize to an alternate randomly chosen winner. Winner confirmation is subject to verification and compliance with these Official Rules. Prize winners must sign and return an affidavit of eligibility & liability/publicity release within ten (10) days of first attempted notification. Tennessee residents need not sign publicity release. Failure to provide signed documents will result in forfeiture of prizes.

In compliance with Internal Revenue Service regulations, Sponsor will send a Form 1099-MISC to winners receiving a prize valued in excess of $600 (USD), which requires disclosure to Sponsor of winner’s social security number. Winner remains solely responsible for paying all federal and other taxes in accordance with the laws that apply in winner’s state of residence.

In the event of a dispute as to the identity of a potential winner based on an e-mail address, the winner will be the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g. business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address or phone number. Proof of being the authorized account holder may be required.

5. General Conditions:
By entering, participants (a) agree to be bound by the Official Rules and the decisions of the Sponsor which are final, binding and conclusive in all respects; (b) agree to release and hold harmless Sponsor, Administrator, prize provider, the Affiliate Entities and their employees and agents (collectively, the "Released Parties") from any and all liability, loss, damage or injury resulting from participation in this Promotion or awarding, receipt, possession use and/or misuse of any prize awarded herein and acknowledge that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize including, but not limited to, its quality, mechanical condition or fitness for a particular purpose; and (c) consent to use of his/her name, photograph and/or likeness for advertising and promotional purposes in connection with this Promotion without additional compensation, unless prohibited by law.

6. Internet:
Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate the Promotion should a virus, bugs or other causes beyond the control of the Sponsor corrupt the administration or security of the Promotion. In such event, the prize will be awarded by random drawing from among eligible entries received up to the date/time of corruption or modification, to the extent feasible from among all non-suspect, eligible entries received up to time of such action. Sponsor is not responsible for late, lost, incomplete, mutilated, destroyed, delayed, falsified, incomprehensible, undelivered, garbled, damaged, incomplete, illegible or misdirected entries; computer system, equipment or program malfunctions, or other errors; failures or delays in computer transmissions or network connections; damage to entrant’s or any other person’s computer related to or resulting from participation; or for any other technical problems related to web site entries. Sponsor is not responsible for incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion, or by any technical or human error which may occur in the processing of the entries in the Promotion. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH OFFENDER TO THE FULLEST EXTENT PERMITTED BY LAW.

7. Marketing Preferences:
By submitting a complete entry, you will have made marketing preferences noted to Sponsor, and may be contacted by Sponsor in accordance with these preferences.  Upon receipt of any Sponsor contact, you may opt out of future contacts, and you will remain eligible to win the prizes.  

8. Individual Entry Only:
Every entry must be manually keystroked and entered by an individual entrant. Automated submission of entries (including but not limited to entries made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from any related e-mail or IP addresses may be blocked. Sponsor may reject any entry it believes, in its sole discretion, is the result of fraud or was submitted in violation of the Official Rules. A "screen shot" is not evidence of winning a prize.

9. Disputes:
This Promotion is governed by the laws of the United States and the State of Connecticut, without respect to conflict of law doctrines. As a condition of participating in this Promotion, participants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Connecticut having jurisdiction. Further, in any such dispute, under no circumstances will participants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (e.g. costs associated with entering), and participant further waives all rights to have damages multiplied or increased.
